Terms And Conditions
THIS AGREEMENT AND THE PARTIES
This agreement is made between us, NobleProg Training & Consulting S.R.L, cu sediul in Bulevardul Eroilor, Nr. 42, Etaj 1, Ap. 9, CLUJ NAPOCA 400129, ROMANIA , and you, the client, the partner or the company that appears on the course registration form and that is signed by an authorized person. The person who signs the registration form for a course or the directors of a company, will be responsible for every commitment made that they or their companies do not fulfill, especially in cases where the person or companies owe money for the services that NobleProg has provided .
The agreement comes into force when we receive the registration form for the course and confirm your reservation. If a completed form does not reach us, but the two parties communicated by e-mail, fax or telephone, then the following conditions apply.
As long as the conditions are not fixed in the registration form for the course, each of the conditions presented, proposed or stipulated by you in any form and at any time, will be excluded.
No change to this agreement or to these conditions will enter into force if we have not accepted it in writing, even if you say that this change is in the booking form.
REQUESTS AND RESERVATIONS
Requests can be made by phone. Any special arrangement or deviation from our terms of delivery and payment must be accepted by us in writing. A registration form for a course must be sent from the NobleProg page or by fax or post. As long as the registration process is not complete, a provisional place will be reserved. Payment conditions follow below.
PRICES
The prices of the courses are published, but it is better to confirm them before booking.
PAYMENT TERMS
You agree to pay the money within five working days after receiving the invoice. If it is not established otherwise and you have not paid before the start of the course, it will be interpreted by us as a cancellation. In this case, cancellation penalties may apply in accordance with the cancellation clause.
RESERVATIONS ON STANDBY
A standby booking is an agreement to buy or pay for a course when the course date is confirmed, not before.
An invoice will be sent before the start of the course.
The reservation will be in accordance with the rest of these conditions.
CANCELLATION OR POSTPONEMENT BY CUSTOMER
Cancellations and postponements must be made known immediately and must reach us before the course date. This applies to all scheduled and unscheduled courses. Cancellation penalties must be paid if the course is canceled or postponed by you on the day the course starts. The amount of the penalty depends on the time remaining until the course date:
20 days before: 100% of the course price must be paid
21-30 days before: 50% of the course price must be paid
31 days and more: 0% penalty
CREDIT/DEBIT CARD - RETURN POLICY
Returns can be offered by the management in special cases.
TRANSFERS AND SUBSTITUTES
A transfer to other courses may be possible, but it depends on whether the respective course is valid, but it will be in standby mode. Cancellation penalties must also be paid here in case the transfer is not brought to our attention within the time period mentioned above. All transfers will cost €XX per person to cover administration costs.
Substitutes with suitable knowledge can be sent shortly before the course. This will not cost extra.
CANCELLATION AND REPROGRAMMING BY NobleProg
NobleProg reserves the right to cancel or reschedule a course or part of the course at any time. In this case, the participants of the respective course will be offered an alternative course or the possibility to withdraw from the respective course. A credit or a return is possible in this case. The additional expenses of the client resulting from the cancellation of the course on our part, are not our responsibility.
COPYRIGHT
All copyrights and intellectual property to the materials we prepare before and during the courses (includes marketing and course notes) remain with us.
COURSE CONTENT
The current content of the course is in an outline that can change over time and it is important that this outline is confirmed when a reservation is made. We try to address all aspects of the course exactly as shown in the course outline, but this cannot be guaranteed. It is possible that the content of a course changes if the participants request it and if it is accepted by the other participants as well as the instructor. The duration of the courses can vary (in hours or days), it depends on how many participants are in the course, the speed with which the course is completed and the talent of the participants. Classes normally last from 9:30 in the morning to 4:30 in the afternoon with a one-hour break for lunch and small breaks for snacks.
DOCUMENTATION
Documentation may be provided for certain courses and will vary in style and depth. The purchase of a documentation, preparation, duplication and authorization for unscheduled courses will cost extra to the price of the respective course, and an invoice will be made after the course, when it will be known exactly how much the documentation cost.
EXPERIENCE AND BEHAVIOR OF THE PARTICIPANTS
We expect the participants to behave professionally during the course. Alcoholic beverages and disorderly behavior will not be tolerated.
Participants must meet the minimum level of knowledge required for the respective course. If this is not the case, then it will not be possible for the course to be taught effectively. Participants with poor knowledge but also those who are too well qualified can of course participate in the courses, but it must be taken into account that the benefit will not be great and that the instructors cannot simply change the content of the course only for these participants, except in the case of discussed beforehand..
We reserve the right to exclude participants (without refund) at any time if they interrupt or disturb the course, as well as when their knowledge influences the course in such a way that it cannot be properly supported.
We reserve the right to stop a course (without refund) in case the participants behave badly or in case their knowledge does not allow us to continue the course properly.
All claims from customers or participants resulting from these delays or interruptions will be paid by those who are responsible for the interruptions.
NO SOLICITATION
During 12 months after the completion of the course, it is prohibited for each party to attempt to employ a member of the other party (except for another arrangement in writing) who participated in, or was related to, the respective course
Violation of this rule will be penalized with costs equal to the salary of the person who was hired or €650,000, whichever amount is greater.
MISCELLANEOUS INFORMATION
The customer (and any other party that was directly or indirectly introduced by a customer to NobleProg representatives) is prohibited from negotiating with NobleProg representatives (or other directly or indirectly introduced parties), except as previously arranged in written form by NobleProg. Any loss of business now or in the future resulting from the violation of this rule must be paid by the client at a rate of €30,000 per day for each day of lost business, or for the total amount of lost business, whichever is greater. We expect the client to have licenses for the software that is used by him in the courses that we provide, regardless of the place of the course or the hardware used, even if it is provided by us or by the client. Participants will be responsible for any defect caused to our data, our equipment or our buildings. The hardware used in the courses is compatible with IBM computers.
NobleProg is not responsible if something is stolen from our customers in our buildings (or while they are attending a course organized by us elsewhere in the world) or if something belonging to the customer is damaged or broken. Valuables, computers, personal property, etc. must not be left unattended even if our instructors or consultants offer to take care of them, as we have no possibility to insure your belongings or other losses that may occur. Normally, the courses are held in such a way that the client is satisfied. There is, of course, the possibility for the client to intervene if the instructor deviates from the course outline. In this case, the client must say in detail why the content of the course is not in order and where is the difference between what is established and what is taught. If the client is right, then the instructor can change the content of the course as such if the other participants agree with it.
COMPETITION
If you book the course, you agree that it is not allowed for the participants to pass on this course or another similar course to other companies in competition with NobleProg.
LIABILITY
NOBLEPROG ASSUMES NO RESPONSIBILITY FOR ERRORSELI OR DEFECTS IN THE CODE; IN METHODS OR IN EXAMPLES THAT ARE PRESENTED DURING THE COURSES. FURTHER, NOBLEPROG DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS OR OTHER CHARACTERISTICS OF THE MATERIALS THAT ARE PART OF THE RESPECTIVE COURSE MATERIALS. THE USER AGREE THAT NOBLEPROG IS NOT LIABLE FOR ANY LOSS OR INJURY RESULTING DIRECTLY OR INDIRECTLY FROM THE USE AND SUPPLY OF THE COURSE MATERIALS AND NOBLEPROG IS NOT LIABLE FOR ANY ADVICE GIVEN IN THE COURSES, WHETHER NEGLIGENT OR FOR CAUSES BEYOND THE CONTROL.
